Terms and conditions
Draft – the highlighted details are still missing.
This is a translation for your convenience. Only the German version is legally binding.
1. Scope
1.1 These terms apply to all contracts for licenses of the software “MaschinenNotes – Costs, service & fuel” for Windows and macOS (“software”) between RuppiLab, owner Peer Drescher (“we”), and the customer. Customers may be consumers (§ 13 BGB) or businesses (§ 14 BGB).
1.2 Use of the software is additionally governed by the end user license agreement (EULA) shown during installation. In case of conflict, these terms prevail.
1.3 The Android and iOS apps are free and provided via the app stores under their terms.
1.4 Deviating terms of the customer do not apply unless we expressly agree to them in text form.
2. Trial
After the first start, the software can be tested free of charge with all features for 14 days. Afterwards existing data remains viewable; editing, importing and exporting require a valid license key. Synchronisation is not available during the trial.
3. Conclusion of contract
3.1 The presentation of licenses on the website is not a binding offer but an invitation to order.
3.2 By submitting the order form (“Place binding order”) or ordering by e-mail, the customer makes a binding offer. We confirm receipt by e-mail; this confirmation is not yet an acceptance.
3.3 The contract is concluded when we accept the order by e-mail – at the latest when we send the invoice or the license key.
3.4 The language of contract is German. We do not store the contract text separately; the customer receives the order details with the confirmation and can view and save these terms here at any time.
4. License types and scope of use
4.1 Single license: for the ordered number of seats (one computer per seat).
Team license: for 5 or 10 seats of one licensee.
Site license: for all seats of the licensee at one site (one address), without limit on their number.
4.2 A seat is a computer (Windows or Mac) on which the software is installed and used. Phones and tablets with the free app do not count as seats. One license key works on Windows and Mac.
4.3 We grant the customer a simple, perpetual right to use the software within the purchased license type. Details are set out in the EULA.
5. Update entitlement and RuppiLab Cloud
5.1 Every license includes an update entitlement for 12 months from issue of the license key: versions released in that period may be used. Afterwards the license remains valid and the last eligible version may be used indefinitely. There is no subscription and no automatic renewal.
5.2 The update entitlement can be extended by 12 months at a time (update extension, prices on the website). The extension follows on from the previous end if ordered beforehand, otherwise from the day of issue.
5.3 Synchronisation via the RuppiLab Cloud is available for the duration of the update entitlement. Afterwards the devices can still read the data for 90 days; then an extension or a switch to your own storage (e.g. Google Drive, Dropbox, OneDrive) is required. We aim for high availability but do not owe uninterrupted service; we announce maintenance in advance where possible. The customer keeps the sync code safe – without it the end-to-end encrypted data cannot be recovered.
6. Prices and payment
6.1 The prices shown on the website at the time of the order apply. All prices are final prices including statutory VAT. There are no shipping costs.
6.2 Payment methods: Bank transfer (prepayment), Invoice (businesses only). Invoices are payable within 14 days without deduction.
7. Delivery
The license key is sent by e-mail to the address given – for prepayment after receipt of payment, for invoice purchases together with the invoice. The software itself is available for download on the website. The customer is responsible for a correct e-mail address and for receipt (e.g. spam folder).
8. Right of withdrawal
Consumers have a statutory right of withdrawal; see the withdrawal policy. Consumers can also declare the withdrawal online via “Withdraw from contract”. The right of withdrawal expires once we have begun performing the contract (sending the license key) after the consumer has expressly agreed and acknowledged that this ends the right of withdrawal, and we have provided a confirmation of the contract (Section 356 (6) German Civil Code (BGB)).
9. Warranty
Statutory warranty rights apply, for consumers including the update obligation under § 327f BGB. For businesses the limitation period for warranty claims is one year from provision. Notes in the software on deadlines (e.g. vehicle inspection), tyres or agricultural diesel refunds, and fuel prices, are aids without guarantee; the applicable regulations and the information from the competent authorities prevail.
10. Liability
10.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee given.
10.2 For slightly negligent breach of an essential contractual obligation, liability is limited to the typical, foreseeable damage. Otherwise liability for slight negligence is excluded.
10.3 For loss of data we are only liable to the extent that would have arisen had the customer backed up data regularly. The software provides a backup feature for this.
11. Data protection
Information on the processing of personal data is in the privacy policy.
12. Final provisions
12.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the state of their habitual residence.
12.2 If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our registered office.
12.3 Should any provision be invalid, the validity of the remaining provisions remains unaffected.
